Welcome to TestimonialUp. These Terms of Service ("Terms") govern your use of our website and testimonial collection and management services (collectively, the "Service") operated by TestimonialUp ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

Account Terms

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

• You must be at least 18 years old to use this Service
• You are responsible for maintaining the security of your account and password
• You are responsible for all activities that occur under your account
• You must notify us immediately upon becoming aware of any breach of security

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Create or display fake, misleading, or fraudulent testimonials
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to infringe upon intellectual property rights of others

Testimonial Content

You are responsible for the testimonials you collect and display using our Service. You represent and warrant that:

• All testimonials are genuine and from real customers or users
• You have obtained proper consent to collect and display each testimonial
• Testimonials do not contain false or misleading claims
• You comply with applicable advertising and consumer protection laws

Payment Terms

For paid subscription plans:

• Billing occurs at the beginning of each subscription period
• Subscriptions automatically renew unless cancelled before the renewal date
• You can cancel your subscription at any time from your account settings
• No refunds are provided for partial subscription periods
• We reserve the right to change pricing with 30 days notice

Intellectual Property

The Service and its original content, features, and functionality are owned by TestimonialUp and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of the testimonials and content you collect through the Service. By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service to you.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TestimonialUp be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.

Our total liability to you for any damages shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. TestimonialUp makes no warranties, expressed or implied, regarding:

• The operation or availability of the Service
• The accuracy or completeness of any information
• The results that may be obtained from use of the Service
• The Service being free of viruses or other harmful components

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or through your account settings.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which TestimonialUp operates, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the applicable arbitration rules.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to use the Service after revisions become effective, you agree to be bound by the revised terms.
